Thank you for choosing Indigo Software Limited trading as kwikcards ("Kwikcards" and also referred to us as "we", "us" or "our"). Terms and conditions are outlined below. Using our website, obtaining a quote or placing an order constitutes acceptance of these terms.

QUOTATIONS/ACCURACY OF SPECIFICATIONS

If a quote is required Kwikcards will provide this free of charge. You must provide accurate specifications because our quotes are based on the information provided. If the order deviates from the original specifications (copy, artwork, electronic files or other specifications), Kwikcards may need to review and modify the quote. Art submittal specifications guidelines are located on our web site. Project quotes are valid for up to 30 days unless Kwikcards notifies you otherwise.

PROOF APPROVAL/COLOUR PROOFING

Kwikcards provides a proof to give you the opportunity to ensure that your project will meet your specifications. Please check all card specifications on this proof form carefully because once a proof is approved, Kwikcards will not accept any liability for errors found after the cards have been printed. This proof indicates the spelling of all text, location of all type, and colours. If you wish to correct the proof, you may do so and resubmit the files. If your changes require creative work by Kwikcards, such as art creation, modification or proof revision or result in Kwikcards issuing more than 2 proofs, additional charges apply. Once a proof has been approved for printing and payment received for the order, printing will progress.

COLOUR

Kwikcards will try to match colours as closely as possible to ensure correctness and accuracy. However, because of standard variation in the printing process, you agree that Kwikcards’ may not guarantee an exact colour match. If you have questions about colour, please contact us.

CREATIVE WORK

Kwikcards offers creative design services. Kwikcards staff can create your logo, design card layout or other artwork. A quote will be provided for your approval prior to beginning any design work. Kwikcards retains ownership rights of sketches, copies and all other creative work we develop or provide until the work is paid for.

PAYMENT

If an order is not placed and paid for directly through our webstore prior to a proof being submitted, an invoice will be send following receipt of project proof approval, Kwikcards will charge 100% of the quoted project price. Unless Kwikcards’ accounting department has approved credit terms, you must make full payment of the quoted project price before Kwikcards will begin production. Kwikcards accepts Visa, MasterCard or payment by PayPal, or bank transfer.

Upon completion of the project and, prior to shipping, any additional charges not already paid for, such as shipping, creative services, rush fees must be paid in full.

If terms are extended, accounts not paid on time are subject to a 1.5% monthly finance charge. If the account becomes past due, you also agree to pay Kwikcards’ collection costs and fees associated with account collection.

ELECTRONIC MANUSCRIPT OR IMAGE

You should always maintain a copy of all original digital files. Kwikcards is not responsible for accidental damage to files or media that you supply or for the accuracy of finished input or final output. We cannot evaluate our ability to work with your digitally submitted files until we receive them and we cannot assume liability for problems that may arise from your digitally submitted files.

PRODUCTION/TURN TIMES

Kwikcards begins production promptly upon receiving proof approval and payment, unless the printing also requires personalization or other value added steps that require you to provide files. For that work, Kwikcards will begin production turnaround time when we receive complete and correct files.

Kwikcards production is typically 2-5 business days. Upon completion, Kwikcards will promptly ship your order. Kwikcards is not liable for delays caused by the couriers.

RUSH ORDERS

Kwikcards can generally accommodate rush orders but rush orders are subject to our management approval. Contact us with your deadline so we can help you determine whether to expedite production, shipping, or both. Kwikcards will charge additional rush fees based on the production and delivery time requested.

CANCELLATIONS

You may cancel an order up to and prior to production. However, once proof approval and payment has been received and production has begun Kwikcards will be entitled to payment as determined by Kwikcards for all work already completed.

ADVERTISING PRODUCTS

Kwikcards may request the right to feature any product in its advertising or promotional material.  We will obtain permission from you prior to using any material.

RESPONSIBILITY FOR CONTENT - COPYRIGHTS/ OTHER RIGHTS

By submitting material to us, you warrant that the subject matter to be printed is not copyrighted or otherwise protected by a third party and that you have not removed a copyright notice in preparing the subject matter. Because subject matter does not have to bear a copyright notice to be protected by copyright law, absence of such notice does not assure a right to reproduce. By submitting material to us, you also warrant that it does not contain content that is libelous or scandalous, or content that threatens anyone’s right to privacy or other personal or economic rights. However, Kwikcards may, in its sole discretion, refuse to print content it views as illegal, libelous, scandalous, or otherwise improper. Because you are responsible for ensuring that all content is legal and appropriate, you agree to indemnify, defend with counsel approved by Kwikcards, and hold harmless Kwikcards, its affiliates, directors, officers and employees against any and all losses, claims, damages, legal fees, expenses or liabilities which Kwikcards may incur as a result of content you provide.

ACCEPTANCE

You must report any shortage, error, damage or any other concern relating to the project to Kwikcards in writing within 24 hours of delivery of the shipment. Kwikcards must authorize return before you return any product. Kwikcards’ liability extends only to the reprint of the product as it was approved on the proof, and only upon return of the misprinted product.

Any damages, loss or issues with product after Kwikcards transfers the project to the carrier become your liability and responsibility other than printing errors made by Kwikcards which you report to Kwikcards within 24 hours of delivery of the shipment as explained above. If you do not report any shortage, error, damage, or other concern within 24 hours of delivery of the shipment, the project is deemed accepted with the agreement that Kwikcards has satisfied the terms, conditions and specifications of the project.

DISCLAIMER OF WARRANTIES/LIMIT ON LIABILITY

Kwikcards warrants that the work will conform to the description in the agreed upon order. Kwikcards disclaims every other warranty. For example, all copy, proofs and preparatory work shown to you are intended only to illustrate the general type and quality of the work; they do not represent the actual work. Kwikcards’ maximum liability for all damages, whether by negligence, contract or otherwise, will not exceed the dollar amount paid to Kwikcards and Kwikcards will not be liable for special, indirect, incidental or consequential damages, loss of profits, economic loss, or loss of goodwill.

STORAGE OF MATERIALS

You may request that Kwikcards retain materials for occasional printing, such as in the case of printing names on membership cards. Kwikcards will retain materials until you have accepted the project. However, Kwikcards will not be liable for any loss or damage to stored material.

APPLICABLE LAW AND GENERAL TERMS

New Zealand law shall govern these terms. The failure to use or assert any right set forth in these terms is not a waiver of any right. These terms are the entire agreement between the parties with respect to the subject matter covered in these terms. Therefore, they supersede all prior agreements or statements relating to such subject matter. Kwikcards may amend these terms by publication on our website.
